Amalgamation

An amalgamation is the process by which two or more corporations merge into a single entity. Articles of Amalgamation are prepared and these are accompanied by a Statement of the Director of each amalgamating corporation.

Further, each corporation enters into an Amalgamation Agreement setting out the terms and conditions of the amalgamation and it is filed as a schedule to the Articles of Amalgamation. This agreement will outline the adoption of by-laws, the conversion and issuance of shares, the financial year end, etc..
